Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Smilekid Labs ("we," "us") governing your use of the NameBird app ("NameBird," the "Service"). By creating an account or using NameBird, you agree to these Terms. If you don't agree, please don't use the Service.

1. Description of the service

NameBird helps expecting or new parents (and the people naming a baby with them) choose a baby name together: swipe on names, see who in your circle liked, disliked, or is "keeping warm" the same names, celebrate when everyone agrees, and get AI-assisted suggestions and explanations along the way. Name meanings and origins are provided for inspiration and are sourced from public and licensed reference material — they're informational, not a guarantee of accuracy, cultural completeness, or legal registrability of any name in any jurisdiction.

NameBird is not affiliated with, endorsed by, or a substitute for advice from any government registrar, naming authority, or legal professional. Always confirm a name is acceptable wherever you plan to register it.

2. Accounts

• You must be at least 13 years old to create a NameBird account.
• You can sign in with an email sign-in code, with Sign in with Apple, or with Sign in with Google. NameBird has no passwords. If you sign in by email code, keep access to your email account secure — anyone who can receive your sign-in code can sign in to your NameBird account.
• You're responsible for the accuracy of the information you provide and for all activity under your account.
• One account per person; don't create an account on someone else's behalf without their permission.

3. Circles and shared data

When you create or join a circle with someone else, you and your circle-mates can see each other's individual name reactions (likes, dislikes, and "keep warm" maybes) for that baby, not only names you've matched on — see our Privacy Policy, Section 3, for the full explanation. By joining or inviting someone to a circle, you agree to this shared visibility. Any current circle member can invite others using a shareable invite code; only invite people you're comfortable sharing this information with.

4. Subscriptions and purchases

NameBird offers an optional premium subscription and one-time purchases ("Baby Pass" and token packs) through the app store you downloaded NameBird from (for example, Apple's App Store). Current pricing, any free trial length, and billing frequency are always shown in the app and at checkout before you purchase — they're set and charged by the app store, not by us directly.

• Subscriptions renew automatically until you cancel. Cancel anytime through your app store account settings; canceling stops future renewals but doesn't refund the current period.
• Baby Pass follows the person who created the circle. If the person who created a circle has an active Baby Pass, premium features are unlocked on that baby for everyone currently in that circle — so one purchase covers the whole circle. Please read this before buying: a Baby Pass unlocks the circles you created. If you join a circle someone else created, your own Baby Pass does not unlock premium features there — that circle depends on its creator's Baby Pass. If the creator's Baby Pass lapses or is refunded, premium features on that circle's baby stop for everyone in it.
• Tokens power the in-app AI naming assistant; the cost of each AI action is shown in the app before you use it. Tokens you purchase do not expire. Tokens granted as part of a promotion or trial may expire — any expiry is shown next to your balance in the app. Tokens are not transferable between accounts and are non-refundable except as required by law or app store policy.
• Refunds are handled by the app store you purchased through, under their refund policies — we don't process refunds directly.

5. AI-generated content

The in-app naming assistant is an AI, not a person. Its name suggestions, explanations, and answers are generated by third-party AI models (see our Privacy Policy, Section 6), and NameBird labels them as AI-generated in the app.

AI-generated content may be inaccurate, incomplete, repetitive, culturally inappropriate, or simply not to your taste. It is provided for inspiration only. It is not professional, medical, legal, cultural, or naming advice, and it is not a statement of fact about any name's meaning, origin, or suitability. Do not rely on it for any decision that matters without confirming it independently — in particular, always check that a name is registrable with the authority where you plan to register it.

You use the AI assistant at your own discretion. We are not responsible for decisions you make based on its output.

6. Acceptable use

You agree not to:

• reverse-engineer, decompile, or attempt to extract the source code of NameBird, except where the law gives you the right to do so;
• scrape, bulk-download, or systematically extract data from NameBird;
• use invite codes or the circle feature to access another person's naming activity without their knowledge or consent;
• impersonate another person or misrepresent your affiliation with anyone;
• use NameBird for any unlawful purpose or in a way that could harm, disable, or overburden the Service.

When using the AI naming assistant, you additionally agree not to:

• submit prompts intended to generate content that is unlawful, hateful, harassing, defamatory, sexually explicit, violent, or that targets or demeans any person or group;
• attempt to bypass, manipulate, or extract the assistant's instructions or safety limits, including by embedding instructions in the text you submit;
• use the assistant to generate content about a real, identifiable person;
• use the assistant for anything other than choosing a baby name, or in any way that would breach the usage policies of our AI providers (OpenAI, Google and Anthropic), which apply to your use of this feature through us.

We may suspend or terminate accounts that violate these Terms, and we may block AI requests that appear to breach the rules above.

7. Intellectual property

NameBird's app, design, branding, and code are owned by Smilekid Labs and protected by intellectual property law. Name data (names, meanings, and origins) is sourced from public official records and licensed reference material, with attribution preserved where the source license requires it. You may not copy, redistribute, or create derivative works from NameBird's content or code without our written permission.

8. Disclaimer of warranties

NameBird is provided "as is" and "as available." We don't guarantee the Service will be uninterrupted, error-free, or that any particular name suggestion, meaning, or match will be accurate, complete, or right for your family. To the fullest extent permitted by law, we disclaim all warranties, express or implied.

9. Limitation of liability

To the fullest extent permitted by law, Smilekid Labs won't be liable for any indirect, incidental, special, or consequential damages arising from your use of NameBird, including decisions made about a baby's name. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.

10. Termination

You may stop using NameBird anytime and request account deletion per our Privacy Policy, Section 8. We may suspend or terminate your access if you violate these Terms, or discontinue the Service (or features of it) with reasonable notice where practical.

11. Governing law

These Terms are governed by the laws of Denmark, without regard to conflict-of-law principles.

If you are a consumer resident in the European Union, this choice of law does not deprive you of the protection of the mandatory consumer-protection rules of the country where you live. You may bring proceedings against us either in the courts of Denmark or in the courts of the country where you reside, and we will bring any proceedings against you only in the courts of the country where you reside. If you are not a consumer, disputes will be resolved in the courts of Copenhagen, Denmark.

Nothing in these Terms limits your right to complain to a consumer authority or to use an out-of-court dispute resolution scheme available where you live.

12. Changes to these terms

We may update these Terms as NameBird changes. We'll update the "Last updated" date above, and for material changes we'll let you know inside the app. Continuing to use NameBird after a change means you accept the updated Terms.
